AZIMUTH INTERACTIVE ™ License Agreement and Limited Warranty
IMPORTANT-READ CAREFULLY
This License Agreement ("License'') is a legal agreement between you, the original purchaser (either an individual or a corporate entity) and Azimuth Multimedia Productions, Inc. ("Azimuth"), the manufacturer of the computer software "Compass Interactive" (the "SOFTWARE PRODUCT"). The SOFTWARE PRODUCT includes computer software, the associated physical media, any printed materials, and any online or electronic documentation. By installing, copying or otherwise using this SOFTWARE PRODUCT, you agree to be bound by the terms and conditions of this License. If you do not agree to the terms and conditions of this License, Azimuth is unwilling to license the SOFTWARE PRODUCT to you. In such event, you may not use or copy the SOFTWARE PRODUCT, and you should promptly contact Azimuth for instructions on how to return the SOFTWARE PRODUCT.
 
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed to you, not sold.
 
1. GRANT OF LICENSE.
A. If you have purchased the Small Business Edition of the Software Product, this License grants you the following nonexclusive rights:
  Software: You may install and use one copy of the SOFTWARE PRODUCT (Small Business Edition) on a single computer serving one individual user. Use of the SOFTWARE PRODUCT (Small Business Edition) at more than one location by more than one user, or on a network, is specifically prohibited. ·
Storage: You may also store or install a copy of the SOFTWARE PRODUCT on a storage device to act as a backup copy of the original software.
   
B. If you have purchased the Enterprise Edition or Professional Edition of the Software Product, this License grants you the following nonexclusive rights:
  Software: You may install and use one copy of the SOFTWARE PRODUCT (Enterprise Edition or Professional Edition only) on a network file server with a total number of client workstations not to exceed the number of workstations specified in Purchase Order and Letter of Transmittal accompanying the SOFTWARE PRODUCT (Enterprise Edition or Professional Edition only).
  Storage/Network Use:You may also store or install a copy of the SOFTWARE PRODUCT (Enterprise Edition or Professional Edition only) on a network file server or other storage devices to act as a backup copy of the original software. A license for the SOFTWARE PRODUCT may not be shared or used concurrently on different computer networks.
   
C. If you have purchased a RichStream Media online training version of the Software Product, this License grants you the following nonexclusive rights:
  Software: You may access and use the SOFTWARE PRODUCT (RichStream Media version only) on a network file server, intranet, or internet connection with a total number of Users not to exceed the number of Users specified in Purchase Order and Letter of Transmittal accompanying the SOFTWARE PRODUCT (RichStream Media version only).
  Online Use:You may not store or install a copy of the SOFTWARE PRODUCT (RichStream Media version only) on a network file server or other storage devices to act as a backup copy of the original software. A license for the SOFTWARE PRODUCT may not be shared or used concurrently on different computer networks.
   
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
  Limitations on Reverse Engineering, Decompilation and Disassembly: You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. ·
  Separation of Components: The SOFTWARE PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer. ·
  Rental: You may not rent or lease the SOFTWARE PRODUCT. ·
  Software Transfer: You may not transfer or sell the SOFTWARE PRODUCT nor your rights under this License. ·
  Termination: Without prejudice to any other rights, Azimuth may terminate this License if you fail to comply with the terms and conditions of this License. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
   
3. COPYRIGHT
  All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT, are owned by Azimuth or its licensors. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.
   
4. PRODUCT SUPPORT
  Product support for the SOFTWARE PRODUCT is provided by Azimuth. You may contact Azimuth Product Support at 1-(914) 739-5593. Should you have any questions concerning this License, or if you desire to contact Azimuth for any other reason, you may do so at the above number or at 23 North Division Street, Peekskill, NY 12566.
   
5. LIMITED WARRANTY
  Azimuth warrants to the original purchaser of this SOFTWARE PRODUCT that the CD-ROM disk on which the SOFTWARE PRODUCT is delivered is free of defects in materials and of faulty workmanship under normal use for a period of 90 days from the date of purchase. If the physical media is believed to be defective during that period, please notify Azimuth at the Product Support number or address above. If Azimuth determines that the disk is defective, the disk will be replaced without charge.
   
Otherwise, Azimuth and its licensors disclaim all other warranties, express or implied, including but not limited to any implied warranties of merchantability and fitness for a particular purpose.
   
  Azimuth and its licensors specifically disclaim any warrant, guarantee, or representation as to the correctness, accuracy, reliability of the contents of the disk or to its use. You as the user assume the entire risk and no information or help provided by Azimuth, its employees, its licensors, agents, distributors or others associated with the development, production, manufacturing and distribution of the SOFTWARE PRODUCT shall be considered to create any warranty or liability on behalf of Azimuth or its licensors.
   
6. REMEDIES
  The only liability and remedy available under this limited warranty shall be the replacement of a defective disk. In no event shall Azimuth or its licensors be liable for any other damages whatsoever, including, without limitation, damages for loss of business profits, loss of business information, business interruption or other loss. If any legally constituted and competent jurisdiction determines the above warranty is invalid in any way, then the purchaser and Azimuth agree that the maximum amount of damages and other compensation recoverable shall not exceed the original purchase price of the SOFTWARE PRODUCT, as determined by a bill of sale or other proof of purchase which must be provided by the purchaser.
